For VuePoint Pro and StorEdge Matrix Estimation Tools Issued by Intellisafe Global Tech Solutions LLP
1. License Grant
Intellisafe Global Tech Solutions LLP (“Licensor”) hereby grants the end user (“Licensee”) a non-exclusive, non-transferable, revocable license to install and use VuePoint Pro and StorEdge Matrix Estimation Tools (“Software”) solely for authorized business purposes, subject to the terms of this Agreement.
2. Restrictions
Licensee shall not:
Reverse engineer, decompile, or disassemble the Software.
Modify, adapt, or create derivative works.
Rent, lease, sublicense, or distribute the Software.
Use the Software for competitive benchmarking without prior written consent.
3. Ownership & Intellectual Property
The Software is licensed, not sold. All rights, title, and interest in the Software, including proprietary algorithms, branding, and documentation, remain with Intellisafe Global Tech Solutions LLP. Trademarks and logos are protected under applicable law.
4. Compliance & Data Use
The Software is designed to align with IEC 62676, ISO, and other relevant international standards.
The Software does not collect or store personal data unless explicitly required for functionality.
Licensee shall comply with applicable export control and data sovereignty regulations in their jurisdiction.
5. Updates & Support
Licensor may provide updates, patches, or upgrades at its discretion. Support services, if any, are governed by separate agreements.
6. Warranty Disclaimer
The Software is provided “as is” without warranties of any kind, express or implied, including but not limited to accuracy, merchantability, or fitness for a particular purpose. Estimation outputs are advisory only and do not constitute compliance certification.
7. Limitation of Liability
In no event shall Intellisafe Global Tech Solutions LLP, its affiliates, or partners be liable for indirect, incidental, special, or consequential damages arising from use of the Software.
8. Termination
This Agreement may be terminated if Licensee breaches its terms. Upon termination, Licensee must immediately cease use and destroy all copies of the Software.
9. Governing Law & Jurisdiction
This Agreement shall be governed by the laws of India, with jurisdiction in Thane, Maharashtra. Disputes shall be resolved through arbitration in accordance with the Arbitration and Conciliation Act, 1996. For international enforcement, local laws in the Middle East and Singapore may apply.
10. Miscellaneous
Entire Agreement: This Agreement constitutes the entire understanding between the parties.
Severability: If any provision is held invalid, the remainder shall remain enforceable.
Assignment: Licensee may not assign rights under this Agreement without prior written consent.
Acceptance
By installing or using VuePoint Pro or StorEdge Matrix Estimation Tools, Licensee acknowledges and agrees to be bound by the terms of this EULA.
